Terms of Service

1. Acceptance of these terms

These Terms of Service (“Terms”) are a legal agreement between you and GCM Ventures LLC(“we,” “us,” “our”), which operates Surgepoint at surgepoint.io as a doing-business-as (DBA) name. By using surgepoint.io, submitting a request form, or calling a phone number we operate, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the service.

2. Eligibility

You must be at least 18 years old and a U.S. resident with the legal authority to request services for the property you are inquiring about. By submitting a request, you represent that you are the property owner or are otherwise authorized to schedule an inspection on the owner's behalf.

3. What Surgepoint is — and what it isn't

Surgepointis a vetted booking and referral service. We curate a network of independent licensed local contractors, match each homeowner request to one of them, schedule the appointment, and confirm the contractor's identity to you before they arrive.

GCM Ventures LLC d/b/a Surgepoint is not a contractor. We do not perform inspections, repairs, restoration, or any other work on your property. The contractor we match you with is an independent business, not our agent or employee. The work itself, any quote, contract, payment, and warranty are matters strictly between you and the licensed contractor.

4. Your obligations

When using the service you agree to:

• Provide accurate and current information in any form you submit
• Use the service only for legitimate inspection or service requests for properties you own or are authorized to manage
• Not submit requests on behalf of others without their authorization
• Not use the service to harass, defraud, or otherwise abuse the contractors in our network
• Comply with all applicable laws and regulations when using the service

5. Communications consent

When you submit a request, you provide express written consent for GCM Ventures LLC d/b/a Surgepoint and the one local contractor matched to your request to contact you by phone call, text message, or email at the contact information you provide about your request, inspection scheduling, related services, and follow-up. Where permitted by law, those communications may use automated technology, prerecorded messages, or artificial voice. The full consent language is shown on the form before submission. Standard message and data rates from your carrier may apply.

Your consent is not a condition of receiving the service. You may revoke consent at any time by replying STOP to a text or contacting us at legal@surgepoint.io.

6. Booking, rescheduling, and reroutes

Surgepointguarantees the booking — meaning the appointment confirmation, disclosure of the matched contractor's identity (name, license, BBB rating where available), and re-routing to another vetted local contractor at no charge if your originally matched contractor cannot make the appointment.

Surgepoint does not guarantee:

• The quality, scope, accuracy, or outcome of any inspection
• The price, terms, or timing of any work the contractor proposes
• The performance, warranties, or representations of the contractor
• Any insurance claim outcome or insurance coverage decision

7. Independent contractor relationship

The contractors in our network are independent businesses. Nothing in these Terms creates an employment, agency, partnership, or joint venture between GCM Ventures LLC and any contractor or between GCM Ventures LLC and you.

Any agreement for inspection, quote, work, payment, or warranty is strictly between you and the contractor. GCM Ventures LLCis not a party to that agreement and is not liable for the contractor's acts, omissions, or work product.

8. Insurance claims

Surgepointdoes not interact with your insurance company, and we do not accept Assignment of Benefits (AOB). Whether to file an insurance claim — and how to interact with your insurer — is entirely your decision and your insurer's. Contractors in our network are contractually prohibited from offering to handle your claim under an AOB or from offering to “cover your deductible” (which would constitute insurance fraud).

9. Fees

The inspection and the matching service are free to you, the homeowner. Vetted contractors in our network pay Surgepoint a referral fee per booked inspection. We may change our pricing model in the future, but any change will not retroactively affect appointments you have already booked.

10. Intellectual property

The Surgepoint name, logo, website, copy, and underlying software are owned by GCM Ventures LLC or our licensors and are protected by U.S. and international intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of the service without prior written permission.

11. Disclaimers

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. GCM VENTURES LLC DISCLAIMS, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We make no warranty about the contractors in our network beyond the curation criteria stated on our website (active license, BBB rating, Google reviews, and insurance verification). We may update those criteria at any time. Verifying the contractor's ongoing qualifications, insurance, and suitability for your specific job remains your responsibility.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GCM VENTURES LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR USE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE IS LIMITED TO ONE HUNDRED U.S. DOLLARS ($100). SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THIS LIMITATION MAY NOT APPLY TO YOU.

13. Indemnification

You agree to indemnify and hold harmless GCM Ventures LLCand its officers, directors, employees, and agents from any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the service, your breach of these Terms, your interactions with any contractor, or your violation of any law or third-party right.

14. Termination

We may suspend or terminate your access to the service at any time, with or without notice, for any reason, including suspected fraud, abuse, or violation of these Terms. You may stop using the service at any time.

15. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the service will be resolved in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts. Nothing in this section prevents either party from seeking injunctive relief in an appropriate forum.

16. Changes to these terms

We may update these Terms from time to time. The “Last updated” date above reflects the most recent change. If we make material changes, we'll post notice on this page and, where appropriate, notify you by email. Your continued use of the service after the effective date of any update means you accept the updated Terms.

17. Miscellaneous

These Terms (together with our Privacy Policy) are the entire agreement between you and GCM Ventures LLC regarding the service. If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision is not a waiver of that right. You may not assign these Terms; we may assign them in our discretion.
